Terms of Service

Last updated: October 16, 2026

1. About NTOD

Welcome to NTOD. This website, ntodtea.com, is operated by Dancong Nighttalk, Inc., a corporation incorporated in Wyoming, United States, doing business as NTOD.

Throughout these Terms of Service, “NTOD,” “we,” “us,” and “our” refer to Dancong Nighttalk, Inc. Our website, online store, content, tools, products, and related services are collectively referred to as the “Services.”

These Terms of Service, together with the policies referenced below, govern your use of the Services and purchases from our store. By using the Services or placing an order, you agree to these Terms. If you do not agree, please do not use the Services.

Nothing in these Terms limits any consumer rights or other statutory rights that cannot be excluded or waived under applicable law.

2. Eligibility and Account Information

To place an order, you must have the legal capacity to enter into a binding agreement under the laws that apply to you. Minors may use the Services only with appropriate permission and supervision from a parent or legal guardian.

You agree to provide accurate, current, and complete contact, billing, payment, and shipping information and to update that information when necessary.

If you create an account, you are responsible for keeping your login credentials secure and for activity you authorize through your account. Please notify us promptly if you suspect unauthorized access.

You may not sell or transfer your account without our prior written permission.

3. Products and Product Information

We make reasonable efforts to describe and display our products accurately. Colors and appearance may vary depending on your device, display settings, and lighting.

Differences in screen appearance do not affect your rights if a product is defective or materially different from its description.

We may update product listings, discontinue products, or limit quantities or availability. Updates to a listing do not retroactively change the agreed terms of an order we have already accepted, except as permitted by applicable law.

4. Orders and Acceptance

When you submit an order, you offer to purchase the selected items and authorize us and our payment providers to process the amount shown at checkout.

Your order is accepted when we confirm acceptance. Payment must be successfully received or authorized as required for the selected payment method before we complete acceptance.

We may decline or cancel an order for legitimate reasons, including unavailable inventory, suspected fraud, payment problems, material listing errors, or legal restrictions.

If we need to change or cancel an order, we will contact you using the information provided at checkout. If we cancel an order after collecting payment, we will refund the amounts paid for the canceled order or affected items, as appropriate and as required by applicable law.

5. Order Cancellations

You may contact us to request a cancellation before your order ships. If your order is successfully canceled, we will issue a full refund to your original payment method.

Once your order has shipped, we do not accept change-of-mind cancellation, return, or exchange requests, except where required by applicable law. Requests involving damaged, defective, incorrect, or materially misdescribed items are handled under Section 10 and our Returns, Exchanges & Refunds Policy.

Please contact us as soon as possible if you wish to cancel an order. Nothing in this section limits any statutory cancellation or withdrawal rights that apply to your purchase.

6. Personal Purchases, Wholesale, and Resale

Our standard online checkout is intended primarily for personal and household purchases.

Wholesale purchases, commercial resale, and other business purchasing arrangements require our prior approval. Please contact us before placing an order for these purposes.

Any separate written wholesale or business agreement will govern the matters it specifically addresses. These Terms will continue to apply to other matters where relevant.

7. Prices, Payments, and Promotions

Product prices are shown on the website. The price applicable to your order will be the price displayed at checkout when you submit it, subject to the correction of material errors as described below.

Applicable shipping charges, taxes, and other amounts collected by us will be disclosed before you complete your purchase.

We may change prices or offer promotions from time to time. Price changes do not affect orders we have already accepted. Promotions may have additional terms, which will govern the specific promotion if they conflict with these Terms.

You represent that you are authorized to use your selected payment method and that the payment information you provide is accurate.

If a material pricing or listing error affects your order, we may contact you to confirm whether you wish to proceed on the corrected terms or cancel the affected purchase. We will not charge an additional amount without your authorization.

8. International Orders, Duties, and Import Charges

Responsibility for customs duties, import taxes, clearance fees, and similar charges may vary by destination and shipping arrangement.

We will explain the applicable arrangement at checkout, including whether relevant charges are collected by us or are payable by you upon import or delivery. Charges already collected for the same purpose should not be paid again.

You are responsible for providing accurate information reasonably required for customs clearance and for complying with applicable import restrictions.

Nothing in this section permits charges or disclosures that are prohibited by applicable law.

9. Shipping, Delivery, and Lost Packages

Please review our Shipping Policy for information about available destinations, fulfillment arrangements, processing times, and estimated delivery times.

Unless expressly stated otherwise, delivery dates are estimates. Carrier operations, customs processing, weather, and other events may affect delivery.

If we cannot ship within the timeframe promised, we will notify you and provide any delay, cancellation, or refund options required by applicable law. A delay outside our control does not remove your statutory rights.

If a package is confirmed lost before delivery, we will generally arrange a replacement first. If a replacement is unavailable, we will issue a refund. This approach does not limit any right you have under applicable law to choose a refund or another remedy.

Please report damaged or incorrect deliveries as described in our Returns, Exchanges & Refunds Policy.

10. Final Sale, Returns, Exchanges, and Refunds

Except where applicable law requires otherwise, all purchases of tea, teaware, and other products are final sale.

We do not accept returns, exchanges, or refunds for a change of mind, personal taste preferences, selecting the wrong item, or other reasons unrelated to a product defect or an issue with our fulfillment of your order. This applies even if an item is unused or unopened.

We do not offer a voluntary return or exchange period. Please review product descriptions and your order details carefully before completing your purchase.

If an item arrives damaged, defective, incorrect, or materially different from its description, please contact us as soon as possible at ntodtea2025@gmail.com with your order number, a description of the issue, and photos or other supporting evidence. We will review the issue and arrange an appropriate refund or replacement, subject to your rights under applicable law.

If we require an item to be returned because it is damaged, defective, incorrect, or materially misdescribed, we will cover the return shipping costs. Please contact us before sending anything back so we can provide instructions and the appropriate return address.

If a package is confirmed lost before delivery, we will generally arrange a replacement first. If a replacement is unavailable, we will issue a refund. This does not limit any right you have under applicable law to choose a refund or another remedy.

Approved refunds will be initiated to the original payment method within five business days, or sooner if required by applicable law. Your bank or payment provider may require additional processing time.

This final-sale policy does not affect our pre-shipment cancellation policy or any nonwaivable statutory right to cancel, withdraw from a purchase, return goods, or receive a refund, replacement, or other remedy. Where such a right applies, we will honor the applicable legal requirements, including deadlines and rules about shipping costs.

Please review our Returns, Exchanges & Refunds Policy for additional details. These Terms and that policy must be read subject to your mandatory consumer rights.

11. Intellectual Property

The Services contain text, photographs, graphics, logos, videos, designs, and other materials owned by NTOD or used with permission from their respective owners.

You may browse the website and use its content as reasonably necessary to evaluate products, make purchases, and use the Services for their intended purposes.

Except where permitted by law or authorized by the rights holder, you may not reproduce, republish, commercially distribute, modify, or exploit protected materials from the Services.

Purchasing a product does not transfer intellectual property rights in the product, its design, or associated branding.

NTOD, Shopify, and third-party names and trademarks remain the property of their respective owners.

12. Reviews, Photos, and Other Submissions

You retain ownership of the reviews, photos, and other content you submit.

When you submit a product review or customer photo for publication, you grant us a nonexclusive, royalty-free license to reproduce and display that content on our product pages, including reasonable formatting needed for display.

We will obtain your separate permission before using your review or photo in advertising, social media, or other promotional materials outside the product-page display described above.

You represent that you have the rights and permissions needed to submit the content, including permission from any identifiable individuals where required. Any compensation or incentive connected with a review must be appropriately disclosed.

Submissions must not be unlawful, fraudulent, abusive, misleading, infringing, or harmful to the security of the Services. We may moderate or remove content that violates these requirements. A review will not be removed solely because it expresses a negative opinion.

13. Acceptable Use and AI Shopping Assistants

You may use the Services only for lawful purposes.

We allow legitimate shopping assistance, including AI tools that help customers browse products, compare options, or place authorized orders.

Any person or automated tool accessing the Services must respect applicable access restrictions and security measures. Automated tools must identify themselves when requested and must not misrepresent their identity or authorization.

You may not:

  • Engage in fraudulent transactions or use payment information without authorization;
  • Conduct malicious scraping, unauthorized bulk extraction, or activity that materially disrupts the Services;
  • Bypass authentication, CAPTCHAs, access controls, or other security measures;
  • Upload malware or attempt to gain unauthorized access to systems or accounts;
  • Collect or misuse another person’s personal information;
  • Infringe intellectual property rights;
  • Harass, threaten, or impersonate another person; or
  • Use the Services to distribute spam or other unlawful content.

Using an AI assistant does not authorize purchases or actions beyond the permission you have given it. Applicable order and payment requirements still apply.

14. Third-Party Tools and Links

The Services may include third-party tools, payment services, integrations, or links to other websites.

Your use of independently provided third-party services may be subject to their own terms and privacy policies. Please review those terms before using the relevant service.

We do not control independent third-party websites or their content. However, nothing in this section excludes any responsibility we have under applicable law for services we provide or obligations we owe to you.

15. Our Relationship With Shopify

Our store is hosted on Shopify, which provides technology that enables us to offer the Services.

Purchases from NTOD are transactions between you and Dancong Nighttalk, Inc. Shopify is not the seller of our products.

We are responsible for our products, order fulfillment, customer service, returns, and other obligations arising from your purchases from NTOD. To the extent permitted by applicable law, Shopify and its affiliates are not responsible for those transactions or our performance of those obligations.

Nothing in these Terms excludes liability that cannot lawfully be excluded.

16. Privacy

Our Privacy Policy explains how we collect, use, and disclose personal information in connection with the Services.

Shopify and other service providers may process information as needed to host the store, process payments, fulfill orders, maintain security, and provide related services. Information may be processed in countries other than your country of residence, as explained in the applicable privacy notices.

Please review our Privacy Policy and Shopify’s Consumer Privacy Policy for more information.

17. Service Availability and Warranties

We make reasonable efforts to maintain the website, but we do not guarantee uninterrupted access or that the Services will always be free from technical errors.

To the extent permitted by applicable law, website features and general informational content are provided on an “as is” and “as available” basis.

This statement does not override product descriptions, express commitments we make, our return and refund obligations, or any warranties and consumer guarantees that apply under law.

18. Limitation of Liability

To the fullest extent permitted by applicable law, NTOD and its officers, employees, contractors, and service providers will not be liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the Services, including resulting loss of profits, business opportunities, or data.

Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, or any other matter for which liability cannot legally be excluded or limited.

These limitations do not remove your rights to refunds, replacements, or other remedies for defective, misdescribed, or undelivered goods under applicable law.

19. Responsibility for Misuse

To the extent permitted by applicable law, you are responsible for third-party claims and reasonable resulting costs caused by your unlawful use of the Services, infringement of another person’s rights, or material breach of these Terms.

This obligation does not require you to cover losses caused by our own wrongdoing or matters for which the law does not permit us to shift responsibility to you.

We will provide reasonable notice of any claim for which we seek reimbursement and a reasonable opportunity for you to participate in its defense. We will not agree to a settlement that requires an admission, payment, or other obligation from you without your consent.

20. Suspension and Termination

We may restrict or suspend access where reasonably necessary to address fraud, security threats, unlawful activity, or a material breach of these Terms.

Where appropriate and legally required, we will provide notice and an opportunity to resolve the issue.

Suspending or closing an account does not eliminate valid refund rights or our obligations concerning orders already accepted.

Provisions that reasonably need to continue after termination, including those concerning intellectual property, outstanding payments, liability, and dispute resolution, will remain effective.

21. Governing Law and Disputes

These Terms are governed by the laws of the State of Wyoming and applicable United States federal law, without regard to conflict-of-law principles.

Subject to mandatory consumer protections, disputes may be brought before courts with appropriate jurisdiction in Wyoming.

If the laws applicable to you provide nonwaivable protections, allow you to bring a claim in your local courts, or require another forum, those rights remain unaffected.

You may contact us using the details below to seek an informal resolution of a concern. Doing so is not a prerequisite to exercising your legal rights.

22. Electronic Communications and Language

We may send order confirmations, shipping updates, return instructions, account notices, and other service communications electronically using the contact information you provide.

You are responsible for keeping your contact information current. Marketing communications will be handled separately and in accordance with applicable consent and unsubscribe requirements.

These Terms may be translated for convenience. To the extent permitted by applicable law, the current English version will control if translations differ. This does not override any mandatory language requirements or determine the language of legal proceedings where applicable law provides otherwise.

23. Changes to These Terms

We may update these Terms by posting a revised version with an updated date.

We will provide notice of material changes where required by applicable law. Changes will take effect on the date stated in the revised Terms or accompanying notice.

Changes will not retroactively alter the agreed terms of orders we have already accepted unless you agree or applicable law permits or requires the change.

24. General Provisions

These Terms and the policies expressly incorporated into them form the agreement governing your use of the Services, together with any separate written agreement applicable to your purchase.

If a provision is found unenforceable, it will be limited or removed to the extent necessary, and the remaining provisions will continue to apply.

A failure to enforce a provision does not waive the right to enforce it later.

Any transfer of our rights or obligations under these Terms will remain subject to applicable law and will not reduce your mandatory consumer rights. We will notify you where legally required.
